If you're going to be a senior the next year, and you will fail a course of you major this year (of course it doesn't count toward your major since it's not passing), and the course will not be offered the next year (because it is a new course and offered at random), will you take another course to sub for that and graduate on time? Or wait til it is offered and retake it...I'm struggling in a course (so is half the class) with a C-/D+. The class average is a D+ but the professor isn't doing anything about it.

I only need 5 upper divisions to fulfill the major requirement. If I happen to fail it, would it be a good idea to sub it for another upperdivision?

I think the policy on failure varies from school to school. At my school, if you get an F or a D, you have to retake THAT class until you get at least a C or take the F or D in your GPA. Obviously if this specific class isn't necessary for the major, but is just one of the required upper division courses, then you could take something else, but you may have the poor grade in this class bringing down your GPA (and a D will bring it down A LOT if most of your other grades are A's and B's).
I suggest you talk with your advisor and the professor ASAP (like yesterday)!
